Accepting the Terms
The Terms (“the Terms”) are a legally binding contract between you and us. This contract sets out yourrights and responsibilities when you use our services. To accept the Terms, you must create an accounton one of our websites, and then click the “Accept the Terms” button. By creating an account for a business entity, you acknowledge that you are a responsible and authorized individual on behalf of that entity.
Account Set-up and Maintenance
We provide services (“Services”) categorized in three areas – Bookkeeping, Income Tax Preparation, andSales Tax. Services can be ordered through your account, or by emailing email@example.com.
We use QuickBooks Online or Desktop to provide bookkeeping solutions, including payroll and employment tax filing. Our bookkeeping Services and pricing can be found here.
We are an authorized e-filer with the Internal Revenue Service (IRS). We provide income tax preparation for individuals and businesses. Our services include obtaining Employer Identification Numbers and Individual Tax Identification numbers for you. Our income tax preparation Services and pricing can be found here. We provide nexus determinations, sales tax registration, return filing, and audit assistance, and other sales and use tax Services. Sales and use tax Services and pricing can be found here.
dditional terms (“Additional Terms”) will apply based on the specific Service ordered. Before these Services are performed, you will be required to accept the Additional Terms either by email or throughyour account. These Additional Terms are part of the binding contract between you and us.
Payment for Services
Some Services will require a retainer to be paid – usually ½ of the total amount due for the service. Some Services will require payment to be made before Services are rendered. Some Services will requirepayment at the time service is rendered. Some Services will be invoiced at the end of each month, due and payable by the 10th of the following month. Interest at the rate of 1 ½% per month will be assessed on unpaid balances after 30 days and will continue until all invoices have been paid. Having two open invoices on the 10th of any month can result in suspension of Services. We accept ACH payments (electronic checks), VISA, Mastercard, Discover, and American Express. Suspension of Services
When two invoices remain unpaid by the 10th of any month, your account will be suspended, and no Services will be performed until all invoices have been paid. You will be notified by email that your account is suspended. Additionally, your account will be suspended if you do not accept updates to theTerms, and no Services will be performed until you have accepted the updates. Payment of invoices or acceptance of updates to the Terms or Additional Terms after your account is suspended, does not guarantee timely performance of current Services and you will be responsible for any penalty and interest assessed because of suspended Services.
Termination of Services
Services can be terminated by us, or by you, for any reason, at any time, upon notice. However, termination by you will take effect no earlier than the end of the month such notice is received. Notice can be made by email to firstname.lastname@example.org, by fax at (801) 892-1042, or by US mail or courier to Boswick Enterprises, LLC 880 Red Sage Lane, Salt Lake City, UT 84107. Termination of Services by us is usually the result of you not making payment, or by not following ourprocedures, or by not accepting updates to the Terms or Additional Terms. Termination of Services by us takes effect immediately and you will be notified by email and regular US mail. Your unpaid invoices to us will be subject to collection.
Changes to the Terms
We may update the Terms or Additional Terms from time to time. You will be notified by email thirty (30) days prior to the effective date of any changes, that way you can decide whether you want to continue using the Services. If you do not accept the updates to the Terms or Additional Terms, your account will be suspended and then terminated. If you accept changes to the Terms or Additional Terms, services will be provided according to the Terms or Additional Terms.
The Terms shall be governed by the laws of the State of Utah, without regard to its conflict of law rules and shall be the only jurisdiction in which any suit may be brought against either you or Boswick regarding any dispute arising out of this Agreement. You and Boswick consent to subject matter and personal jurisdiction in the State of Utah and agree that venue shall be in Salt Lake County, State of Utah.
